Outcora Platform

These Terms of Service ("Terms") govern your access to and use of the Outcora platform ("Platform"), including the website, interfaces, APIs, smart contracts, and related services.
By using the Platform, you confirm that you have read, understood, and agree to these Terms.
IF YOU DO NOT AGREE — YOU MAY NOT USE THE PLATFORM.
Definitions
For the purposes of these Terms, the following terms have the meanings below:
- "User" — any person who accesses or uses the Platform.
- "Market" — a specific question/event on the Platform for which contracts are traded.
- "Contract" — a digital instrument (position/share) whose price reflects the probability of a Market outcome and that may provide a payout according to Resolution.
- "Resolution" — the determination of a Market's final outcome based on predefined criteria and/or Oracle data.
- "Oracle" — a data source or mechanism designated to obtain information required for Market Resolution.
- "Custodial account" — an account where private keys are stored and managed by the Platform to execute operations.
- "User content" — any content that the User publishes or uploads on the Platform (including profile photo, nickname, bio, comments, etc.).
1. Nature of the Platform
Outcora is a prediction markets platform that uses blockchain and smart contracts and provides users with an interface to interact with smart contracts and other market participants.
The Platform:
- is not a bank, broker, investment company, or payment institution;
- is not a party to transactions between users;
- does not guarantee profits or preservation of funds;
- does not provide financial, investment, legal, or tax advice.
Contract prices are formed exclusively by market participants. The Platform acts as a technological interface, not a counterparty.
2. Outcora Is Not Gambling
The Platform is not:
- a casino or gaming establishment;
- a bookmaker or sportsbook;
- a betting operator;
- a lottery organizer or gambling operator in any form.
Outcora does not accept bets. Users engage in peer-to-peer trading of contracts on event outcomes. The price of each contract is formed solely by market supply and demand.
The Platform has no "house edge," mathematical advantage, or guaranteed income from user losses. The Platform's mechanics are closer to derivatives markets than to traditional betting.
3. Eligibility
By accessing the Platform, you confirm that:
- you are at least 18 years old or the age of majority in your jurisdiction (whichever is higher);
- you have full legal capacity to accept these Terms;
- you are not a citizen or resident of, and are not physically located in, the Russian Federation or the Republic of Belarus;
- you are not subject to international sanctions (including lists maintained by OFAC, the EU, the UK, or other relevant authorities);
- your use of the Platform does not violate the laws of your jurisdiction;
- all information you provide is accurate and complete.
Access in violation of these requirements is unauthorized and strictly prohibited. The Platform reserves the right to restrict or terminate your access at any time without prior notice.
3.1. Verification
At the time these Terms are published, the Platform does not require KYC (Know Your Customer). However, the Platform reserves the right to introduce mandatory identity verification at any time in accordance with regulatory requirements or for security purposes. If KYC is introduced, continued use of the Platform may be conditioned on successful verification.
4. Account and Wallet
Upon registration, a custodial account is created for you on the Platform. The private keys to your account are stored and managed by the Platform.
The Platform manages funds in your account in accordance with the service logic, including, but not limited to: executing trades, charging and collecting fees, settling positions, and distributing payouts.
You understand that the Platform has the technical ability to manage custodial accounts to ensure service operation. Despite the use of blockchain technology and smart contracts, the Platform is not fully decentralized and retains operational control necessary to provide services.
The Platform takes reasonable measures to protect custodial accounts, however it cannot guarantee absolute security against cyberattacks, infrastructure vulnerabilities, or other security incidents. You acknowledge and accept the risk of partial or total loss of funds as a result of such events.
You have the right to request access to your account's private keys by contacting support@outcora.com. The Platform will consider such requests within a reasonable time.
Creating multiple accounts, transferring, or selling an account to others is prohibited.
5. Smart Contracts and Blockchain
Interaction with the Platform occurs through autonomous smart contracts deployed on a public blockchain.
You understand and agree that:
- smart contracts are an experimental technology and may contain bugs, vulnerabilities, or unpredictable behavior;
- blockchain transactions are irreversible once confirmed by the network;
- the blockchain network may be congested, forked, reorganized, or halted;
- transaction outcomes depend on network state, network fees, and other external factors;
- the Platform does not control validators, miners, or blockchain infrastructure.
You use smart contracts at your own risk. The Platform is not liable for failures, vulnerabilities, or unexpected smart contract behavior.
6. Markets and Resolution
Markets are based on objectively defined events. Each market outcome is determined based on predefined data sources or oracles.
The Platform makes reasonable efforts to provide transparency for resolution criteria and data sources; however, the outcome after resolution is final and binding.
In exceptional cases, the Platform may:
- cancel a market;
- re-run a resolution;
- suspend trading on a market;
- void outcomes and return participant positions
in cases of: technical failures, ambiguity in resolution criteria, detected manipulation, oracle failures, or extraordinary circumstances.
You agree that you have no legal basis to challenge resolution decisions made by the Platform in good faith.
7. Liquidity
The Platform may use automated market makers (AMMs), protocol liquidity, or other automated mechanisms to keep markets functioning.
Availability of liquidity:
- is not a guarantee of profit or absence of loss;
- does not imply the presence of a betting operator or counterparty;
- does not create fiduciary, trust, or agency obligations toward users;
- does not guarantee the ability to exit a position at a desired price.
Liquidity may change, and spreads may widen during periods of high volatility or low activity. The Platform does not guarantee any level of liquidity in any market.
8. Fees
The Platform may charge fees for trading, settlement, or other operations. The current fee schedule is published on the Platform.
Fees may vary depending on the market, type of operation, or conditions of use.
Fees and their structure may change without prior notice. All fees collected are non-refundable.
In addition to Platform fees, you are responsible for blockchain network fees, which the Platform does not control.
9. Prohibited Activities
Users are strictly prohibited from:
- Market manipulation: wash trading, spoofing, layering, coordinated trading, or any other actions intended to artificially influence prices or outcomes;
- Exploitation of vulnerabilities: using bugs, smart contract errors, oracle failures, or other technical weaknesses to gain unfair advantage;
- Multiple accounts: creating multiple accounts to circumvent restrictions, increase market influence, or evade sanctions;
- Illegal activity: money laundering, terrorism financing, sanctions evasion, or any other unlawful use of the Platform;
- Harmful content: creating markets related to violence, terrorism, sexual exploitation, or other prohibited topics;
- Interference with operations: DDoS attacks, unauthorized scraping, hacking attempts, or any actions that disrupt normal Platform operation.
In case of reasonable suspicion of prohibited actions, the Platform may without notice: (i) suspend or block access; (ii) void positions and trade outcomes; (iii) share information with law enforcement and regulators.
9.1. User Profile
You may configure your profile: upload a photo, change a nickname, and add a bio.
It is prohibited to use profile content that:
- contains insults, hate speech, or discrimination of any kind;
- is provocative, aimed at inflaming conflict, or trolling;
- contains ads, spam, or third-party promotional materials;
- impersonates or misrepresents another person, brand, or an official Platform account;
- contains pornographic, shocking, or explicitly indecent content;
- contains contact details to bypass the Platform (Telegram channels, referral links, etc.);
- infringes third-party intellectual property rights.
The Platform reserves the right to remove or reset any profile element (photo, nickname, bio) without prior notice or explanation.
9.2. Commenting Rules
The Platform allows users to leave comments on markets and events. By using this feature, you agree not to publish content that:
- contains threats, calls for violence, or hate speech;
- is offensive based on race, nationality, gender, religion, sexual orientation, or disability;
- contains spam, advertisements, or phishing links;
- discloses personal data of others (doxxing);
- is knowingly false and intended to manipulate the market;
- contains pornographic or otherwise explicitly indecent content;
- infringes third-party intellectual property rights;
- contains malicious software or links to it.
The Platform reserves the right to delete any content without prior notice or explanation.
9.3. Consequences of Content Violations
The provisions of this section apply equally to the profile (§9.1) and comments (§9.2).
In case of violation, the Platform may at its discretion:
- delete content or reset profile elements;
- temporarily limit account functionality (mute, trading restriction);
- permanently block the account (ban).
WARNING: in case of account blocking, the Platform reserves the right to restrict access to funds until completion of an internal investigation or regulatory requirements. Timeframes and conditions for unblocking are determined by the Platform on a case-by-case basis.
Repeated or severe violations may result in immediate banning without prior warnings.
10. Risk Disclosure
USING THE PLATFORM INVOLVES A HIGH DEGREE OF RISK. YOU MAY LOSE 100% OF YOUR FUNDS.
You acknowledge and accept the following risks:
- Market risk: crypto assets are extremely volatile; the value of your positions may change instantly and significantly;
- Smart contract risk: code may contain bugs, vulnerabilities, or be attacked; audits do not guarantee absence of risk;
- Oracle risk: data sources for market resolution may provide inaccurate or untimely information;
- Custodial risk: your funds are stored in a custodial account managed by the Platform. In the event of a hack, technical failure, or account lock, you may lose some or all of your funds;
- Regulatory risk: changes in laws of any jurisdiction may affect the availability, functionality, or legality of the service;
- Liquidity risk: you may be unable to exit a position at a desired price or time;
- Operational risk: technical failures, network congestion, DDoS attacks, or other incidents may disrupt the Platform temporarily or permanently.
The Platform does not provide investment advice and does not recommend participation in prediction markets.
USE ONLY FUNDS YOU CAN AFFORD TO LOSE.
11. Limitation of Liability
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
To the maximum extent permitted by applicable law, the Platform, its developers, contributors, and affiliates are not liable for:
- direct, indirect, incidental, special, consequential, or punitive damages;
- financial losses, loss of profits, data, or opportunities;
- loss of access to wallets or funds;
- failures, vulnerabilities, or unexpected smart contract behavior;
- acts or omissions of third parties, including oracles, validators, and other users;
- force majeure events.
12. Indemnification
You agree to indemnify and hold harmless the Platform, its developers, contributors, and affiliates from any claims, damages, liabilities, and expenses (including legal fees) arising from:
- your breach of these Terms;
- your illegal or unauthorized use of the Platform;
- your violation of third-party rights;
- your User content.
13. Dispute Resolution
Any dispute, controversy, or claim arising out of or in connection with these Terms or use of the Platform shall be resolved by mandatory arbitration.
The parties agree to first attempt to resolve the dispute through negotiations within 30 (thirty) days from receipt of written notice. If the dispute cannot be resolved through negotiations, it will be submitted to arbitration.
Arbitration is conducted according to the rules in effect at the time the dispute arises. Information about applicable arbitration rules, language, and procedures is published on the Platform.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS OR CLASS ARBITRATION.
14. Emergency Powers
In the event of emergency circumstances, including but not limited to: critical smart contract vulnerabilities, protocol attacks, oracle failures, regulatory actions, or force majeure events, the Platform reserves the right to:
- temporarily or permanently suspend operation of individual markets or the entire Platform;
- freeze trading or withdrawals;
- cancel or void open positions;
- perform emergency migration to updated smart contracts;
- take any other actions necessary to protect users and protocol integrity.
These actions may be taken without prior notice. The Platform will make reasonable efforts to inform users as soon as possible after emergency measures are taken.
15. Intellectual Property
All Platform content, including the interface, design, text, graphics, logos, and software ("Platform Content"), is protected by intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use Platform Content solely for personal purposes related to participation in prediction markets.
16. Privacy
The collection, use, and protection of your information are governed by the Privacy Policy, which is an integral part of these Terms and is available on the Platform.
17. Changes to the Terms
The Terms may be changed, supplemented, or updated at any time. The Platform will notify you of changes by updating the "Last revised" date and/or posting a notice on the Platform.
Continued use of the Platform after changes are published means you agree to the updated Terms. If you do not agree to the changes, you must stop using the Platform.
18. Termination
The Platform may at any time and without prior notice:
- suspend or permanently cease operations;
- change market mechanics, fee structure, or interface;
- restrict or terminate access for specific users;
- migrate to new smart contracts or blockchain networks.
The Platform is not liable for losses related to suspension or termination of operations.
19. General Provisions
Severability. If any provision of these Terms is held invalid, the remaining provisions remain in full force and effect.
Waiver. Failure or delay in exercising any right under these Terms does not constitute a waiver of that right.
Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Platform regarding the subject matter of these Terms.
Assignment. You may not assign your rights or obligations under these Terms without prior written consent.
Force majeure. The Platform is not liable for failure to perform obligations caused by force majeure events, including natural disasters, war, pandemics, cyberattacks, network outages, or regulatory changes.
